Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of OrcFlows (the "Service"),
including our web application, API, and related tools. By creating an account or using the
Service, you agree to these Terms. If you're using OrcFlows on behalf of an organization,
you're agreeing on that organization's behalf and confirming you have authority to do so.
If you don't agree to these Terms, don't use the Service. Our
Privacy Policy explains how we handle your information and is
incorporated into these Terms by reference.
2. The Service
OrcFlows is a visual workflow automation and AI agent platform. It lets you build workflows
that connect to third-party services (such as Gmail, Slack, or GitHub) and AI model
providers (such as OpenAI or Anthropic) that you configure, executed durably on our
infrastructure (Cloud) or on infrastructure you control (self-hosted Community Edition —
see Section 8).
The Service is offered on Free, Pro, and Enterprise plans with different limits and
features, described at orcflows.com/#pricing. We may add, change,
or remove features from any plan at our discretion, and will make reasonable efforts to
notify you of material changes that reduce functionality you're actively using.
3. Accounts & Eligibility
You must provide accurate information when creating an account and keep your credentials
secure — you're responsible for all activity under your account. You must be at least 16
years old to use the Service. One workspace may have multiple team members with different
roles (owner, member); the workspace owner is responsible for managing member access.
4. Plans, Billing & Cancellation
Paid plans are billed monthly in advance through our payment processor, Stripe. Subscribing
authorizes us to charge your payment method on a recurring basis until you cancel.
- Upgrades take effect immediately, with billing prorated for the current period.
- Downgrades and cancellations take effect at the end of your current billing period — you keep plan features you've already paid for until then.
- Your workflow definitions remain exportable at any time, on any plan, including after cancellation while your account remains accessible.
- Fees are non-refundable except where required by law or expressly stated otherwise.
Enterprise plans are governed by a separate order form or agreement where one is executed;
where terms conflict, the Enterprise agreement controls.
5. Acceptable Use
You agree not to use OrcFlows to:
- Violate any law, or the terms of service of any third-party service you connect to OrcFlows.
- Send spam, unsolicited bulk messages, or malicious content through connected communication channels.
- Attempt to gain unauthorized access to another user's workspace, account, or connected credentials.
- Interfere with, overload, or attempt to circumvent rate limits or usage restrictions on the Service.
- Reverse-engineer the Service in order to build a competing product, except to the extent applicable law prohibits this restriction.
- Use the Service to build or run workflows whose primary purpose is to harass, defraud, or harm others.
We may suspend or terminate accounts that violate this section, with or without notice
depending on severity.
6. Your Content & Data
You retain all ownership rights to the workflows, knowledge-base content, and other data you
create or upload in OrcFlows ("Your Content"). You grant us a limited license to host,
process, and transmit Your Content solely to operate the Service — for example, running a
workflow you built, or generating embeddings for a knowledge base you created.
You're responsible for having the necessary rights to any content you upload or connect, and
for your workflows' compliance with applicable law and the terms of any third-party service
or AI provider they interact with.
7. Third-Party Services & AI Providers
OrcFlows lets you connect your own accounts on third-party services and call AI model
providers of your choosing. Those integrations are provided for your convenience — we don't
control, and aren't responsible for, the availability, accuracy, security, or content
produced by any third-party service or AI model. Your use of a connected service or AI
provider through OrcFlows is subject to that provider's own terms, in addition to these
Terms.
If a workflow you configure sends data to a third-party AI provider, that provider processes
it under its own terms — review those before connecting a provider you haven't used before.
8. Self-Hosted / Community Edition
The Community Edition may be run on infrastructure you operate. When you self-host, you are
responsible for that infrastructure, its security, and its compliance with applicable law —
these Terms govern your relationship with us regarding the software itself, not your own
deployment's operation. Self-hosted use is subject to the license distributed with that
software, which controls where it differs from these Terms.
9. Our Intellectual Property
OrcFlows, our logo, and the Service's underlying software (excluding Your Content and
excluding any portions distributed under a separate open-source license) are owned by us.
These Terms don't grant you any rights to our trademarks or branding beyond what's needed to
reasonably refer to the Service.
10. Service Availability; No Warranty
We aim for high availability but don't guarantee the Service will be uninterrupted or
error-free — third-party services, AI providers, and infrastructure outside our control can
affect your workflows. Except as expressly stated in an Enterprise agreement with an SLA,
the Service is provided "as is" and "as available,"
without warranties of any kind, express or implied, including merchantability, fitness for a
particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, OrcFlows will not be liable for any indirect,
incidental, special, consequential, or punitive damages, or any loss of profits, data, or
goodwill, arising from your use of the Service — including actions taken by workflows you
configured, or the behavior of third-party services or AI providers you connected. Our total
liability for any claim arising from these Terms will not exceed the amount you paid us in
the 12 months before the claim arose.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the
Service in violation of these Terms or applicable law, including claims arising from
workflows or connections you configure.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or
terminate your access if you violate these Terms, if required by law, or if continued
provision of the Service to you would create a legal or security risk. On termination, your
right to use the Service ends; provisions of these Terms that by their nature should survive
(such as Sections 9–12) will continue to apply.
14. Changes to the Service or Terms
We may update these Terms from time to time. If we make material changes, we'll notify you
by email or an in-app notice before the change takes effect. Continuing to use the Service
after a change takes effect means you accept the updated Terms.
15. Governing Law
These Terms are governed by the laws of [Jurisdiction — to be finalized],
without regard to conflict-of-law principles. This section will be updated once OrcFlows
completes formal business registration.
